In no event shall any User obtain any ownership rights, copyrights or other use rights to any Information. As a User, you acknowledge that access to and the use of the Information is limited to the license terms set forth herein and any expansion of such access or use requires the prior written consent of CCID Consulting and/or AC Advisory. Use and Citation User shall have the right to use the Information for its own internal information purposes. Changed Terms AC Advisory reserves the right to change the terms and conditions applicable to use of the Information. Such changes shall be effective immediately upon notice to User by email or via announcement placed on Website. Use of the Information after notice shall be deemed to be acceptance by User of such changes. Disclaimer of Warranties All Information, unless specifically cited as AC Advisory, is the sole responsibility of CCID Consulting and do not necessarily reflect those of AC Advisory. AC Advisory shall in no event be liable for any claim attributable to errors, omissions or other inaccuracies in the Information or interpretations thereof. Indemnification User agrees to indemnify, defend and hold harmless AC Advisory, its affiliates, licensors, and their respective officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of the use of the Information by the User. Third Party Rights The provisions regarding Disclaimer of Warranties, Liability Limitation and Indemnification are for the benefit of AC Advisory, and its licensors, employees and agents. Each shall have the right to assert and enforce those provisions against an User. Purchase Agreement In the event of a purchased Information, all sales for Information are final and non-refundable. Payment is due upon receipt of invoice. Upon proper payment of the applicable license fees, CCID Consulting and/or AC Advisory agrees to sell to you, as a User, (a) a license to access Information that you select from those displayed from time to time on the Website and (b) tickets or other rights of participation to Events that you select from Events displayed from time to time on the Website. Term and Termination AC Advisory may terminate this Agreement at any time for any reason or for no reason. The Agreement will automatically terminate without notice if the User fails to comply with any provision of this Agreement. Upon termination of this Agreement, User shall cease all use of and destroy all copies of the Information in the User's possession. The Sections titled "Ownership and Copyright", "Disclaimer of Warranties", "Liability Limitation", "Indemnification", "Third Party Rights", "Purchase Agreement" and "Miscellaneous" shall survive any termination of this Agreement. Links This Website contains links to other web sites, which are provided as resources for the convenience of Users. Because AC Advisory is not responsible for maintaining these sites, please direct your concerns about any of the linked sites to that site’s administrator. Miscellaneous (a) This Agreement is personal to the User. User may not assign, transfer or sublicense its rights or obligations under this Agreement. (b) This Agreement shall be governed by the laws of California, in the United States of America, without regard to California's conflicts of law rules. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal court or state court located in California. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. (c) Unless otherwise agreed upon in writing between AC Advisory and the User, this Agreement constitutes the entire agreement between AC Advisory and the User with respect to the subject matter of this Agreement and supersedes all prior written and oral agreements between AC Advisory and the User regarding the subject matter of this Agreement. (d) If any provision of this Agreement is found to be illegal or unenforceable, the other provisions shall remain effective and enforceable to the greatest extent permitted by law.
